Quake 2 modeller. 0.83 has an advantage, and 0.911b another. can't remember never which (I have both) Quite hard to learn and handle but very functional. I have fixed/added frames/etc some md2 with this one.

Npherno NST. fantastic uv mapping and painting features that many used for texturing md2 in the old past. You wouldn't loose animation with this one. It's painting functions are more for a basic markup to be painted later on on a 2d application.

3d canvas will allow you to export md2. no import I think. And I think only is available in the non free version.

Gmax has available, but not easy to find, an md2 importer and md2 exporter. This one would be a powerful way.

Character Fx -15$- exports md2.

Blender , quite hard to learn, but really powerful (for the matter, not as much as Gmax, imho, but is totally free and evolving, unlike Gmax) , I was succesfull to import and export md2.

At Polycount.com you may find quake modeller versions and nst. 3d canvas is at amabilis.com (but I'd definitely go for the other options previously) .
Character fx is at Insanesoftware.de
Blender, at Blender.org , and the plugins you'd very much need for md2, at elysiun.com

Gmax at turbosquid.com , I think , one of the md2 plugins at http://pages.videotron.com/browser/ The other, surely at scripspot or maxplugins.de (make a search in both)

gmax

Do not use Tempest! That one wouldn't allow comercial use of the md2. hmm...cant find now the md2 exporter I had once for gmax...

oldies at polycount (not all are usable for comercial!(IE: Id tools aren't. Npherno tools, and quake modeler are usable))

Anyway, a good way , but hard, is Blender.

python.org (for blender is very adviceable to download python 2.3.4).Install it prior to installing Blender.

Blender.org Download Blender here.

and md2 import export for blender :

I have all these things but I frequent not regularly these forums, and the key thing is you bookmark the author sites...
