there are several methods to convert max to b3d, but as far as I see you need 3dstudioMax for all of them. Maybe a fried can save them for you. One way would be to save them as DX8-compatible .X Files, then load them in UltimateUnwrap3D. THere is also a B3D exporter for 3dstudioMAX, I guess it was B3D-pipeline or something. And I think I remember you can save them as SMD and convert in UU to B3D as well.
Model resources. There is some free stuff, but most of it isn't very useful for games (too many polies). This may be a good linklist: www.3dlinks.com (req. javascript)
